Roger Bischof is a recognized expert in insolvency and restructuring law as well as distressed M&A. He advises both debtors and creditors on domestic and cross-border restructurings, turnarounds, and insolvency proceedings – in and out of court. He regularly assists with complex M&A transactions involving distressed businesses, including pre-pack solutions. Clients also rely on his broad expertise in corporate, contract, and commercial law.
Roger supports clients in solvent liquidations, debt enforcement, bankruptcy and composition proceedings, and related litigation – including objection proceedings, claw-back actions, asset freezes, director liability claims, and the recognition and enforcement of foreign insolvency decisions in Switzerland.
With prior experience as a lawyer in China and Singapore – including an in-house counsel role covering the jurisdictions Malaysia, Indonesia, Vietnam, and Thailand – and having served for many years on the board of the Swiss-Chinese Chamber of Commerce in Shanghai, Roger is also a trusted advisor on Asia-related investments. He supports Asian clients investing in Europe and European companies pursuing outbound transactions in Asia.
Roger Bischof is the author of numerous articles and a regular speaker at seminars. He is the Chairman of the Swiss Turnaround Association (STA) / Turnaround Management Association Switzerland (TMA CH) and a Fellow of INSOL International.
Roger Bischof was previously involved in the following projects:
- Advised an insolvent group of companies in the watch and jewelry industry regarding contingency planning including bridge loan negotiation with lenders, judicial debt restructuring moratorium and distressed M&A transactions
- Representing a group and its affiliates, including the European holding and its subsidiaries, in the financial sector as debtors in proceedings under Chapter 11 and parallel composition proceedings with respect to Swiss law matters
- Extraordinary bankruptcy administration regarding the cross-border bankruptcy of a travel provider and dealing with complex international issues
- Distressed sale of Swiss industrial company with longstanding history and tradition and negotiation of SPA on behalf of Chinese seller
- Cross-border recognition of several bankruptcy and debt restructuring verdicts
- Investigating a Swiss banking institution under the direction and supervision of FINMA
