Proposed Amendments to the Swiss Code of Obligations on Proxy Advisors
The Swiss Federal Council has opened consultation proceedings on proposed amendments to the Swiss Code of Obligations aimed at enhancing transparency regarding the involvement of proxy advisors in Swiss companies. The proposal responds to concerns over potential conflicts of interest where proxy advisors provide services both to institutional investors and the companies on which they issue voting recommendations.
While the amendments stop short of directly regulating proxy advisors, they would introduce new transparency obligations for the boards of directors of Swiss companies.
